Introduction

Services
i2medier Agency provides a range of marketing, web and app development, and other media services (“Services”). The specifics of the services provided will be detailed in a separate agreement between i2medier Agency and the client.
Payment Terms
- Fees and Payment: Fees for services will be outlined in the service agreement. Payments are due within 30 days of the invoice date, unless otherwise specified.
- Late Payments: Late payments may incur additional charges, including interest and fees associated with collection efforts.
- Refunds: Refunds will be handled on a case-by-case basis and are not guaranteed.
Client Responsibilities
- Timely Provision of Materials: Clients must provide all necessary materials and information in a timely manner to facilitate the provision of services.
- Approvals and Feedback: Clients must provide timely approvals and feedback to avoid delays in the delivery of services.
Confidentiality
Both parties agree to keep all information received from the other party confidential and to use it solely for the purpose of fulfilling their obligations under the service agreement.
Intellectual Property
- Ownership: The client retains ownership of all pre-existing intellectual property provided to i2medier Agency. Any new intellectual property created by i2medier Agency as part of the services will be owned by i2medier Agency until payment is received in full.
- License: Upon full payment, i2medier Agency grants the client a non-exclusive, perpetual license to use the deliverables for their intended purpose.
Limitation of Liability
i2medier Agency will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided. Our total liability for any claims related to the services will be limited to the amount paid by the client for those services.
Termination
- By Either Party: Either party may terminate the service agreement with 30 days’ written notice.
- For Cause: Either party may terminate the agreement immediately if the other party breaches any material term of the agreement and fails to cure the breach within 14 days of receiving notice.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
Changes to Terms
i2medier Agency reserves the right to modify these terms and conditions at any time. Clients will be notified of any changes, and continued use of our services will constitute acceptance of the revised terms.
